Small business

Entity setup and contracts for a small shop. Limited scope.

I form New Jersey LLCs and I draft contracts for small businesses. This is limited-scope contract drafting and entity setup — not outside general counsel on retainer, not securities work, not tax controversy, and not a big-firm corporate department.

Entity setup

LLC formation and an operating agreement.

A New Jersey LLC formation and operating agreement is $895, plus filing fees. That published fee is on the fees page, with what is in and what is out.

Amendments to an operating agreement you already have are quoted once I know the facts. I have not settled a standardized published price for amendments.

Published contract fee

Client services contract for your small business.

A client-facing services contract for your small business — the paper you send customers who buy your services — is $500. That published fee is on the fees page, with what is in and what is out.

Other contracts

Drafting for a small shop, quoted after I know the facts.

Other small-business contracts are flat fees quoted case by case after a conversation — or after I accept the matter under the usual caseload and resonance rules and we sign a written retainer. Work on that basis includes:

  • Operating-agreement amendments
  • Independent contractor, vendor, or service agreements
  • NDA or confidentiality agreements
  • Simple employment offer letter or at-will employment agreement
  • Partnership or two-owner operating terms when you are starting out
  • Website terms of use
  • Commercial or shop-lease review as a letter, not a closing

A commercial or shop-lease review is a letter, not a closing. If it fits the published real-estate review letter of $150, that is the fee. I do not sell closings as this work.

A simple employment offer letter or at-will employment agreement is a defined piece of paper. I am not a full HR department, and I am not a wage-and-hour litigation boutique.

What this is not

One party. Limited scope. Not general counsel on retainer.

I represent one party only. I will not dual-represent two co-founders who are in a fight, or two sides of the same contract.

This office is not outside general counsel you keep on retainer. I do not hold this office out for securities work or tax-controversy representation. Court costs, filing fees, and the state LLC filing are extra where they apply.

I take all matters based on my case load and whether the case resonates with me. A meeting alone does not establish an attorney-client relationship. That relationship begins only after I have accepted the case and we have both signed a written retainer agreement.
